GreenPearl Platform Terms of Use

These Platform Terms of Use (“Terms”) govern access to and use of greenpearl.com and the GreenPearl Events Platform, including GreenPearl accounts, profiles, event directories, messaging, networking features, and other online features and services we make available (collectively, the “Platform”).

GreenPearl (“GreenPearl,” “we,” “us,” or “our”) operates the Platform.

Registration for and attendance at GreenPearl events are additionally governed by the GreenPearl Attendee Terms & Conditions. Our collection, use, and disclosure of personal information are described in our Privacy & Cookies notice.

By creating or claiming an account, accessing an account, or otherwise using the Platform after being presented with these Terms, you agree to these Terms. If you do not agree, you should not use the Platform.

You must be at least 18 years old to create or use a GreenPearl account.

The Platform is intended primarily for professionals participating in or interested in GreenPearl business events and related professional networking.

GreenPearl may decline to create or maintain an account where we reasonably determine that the account is fraudulent, misleading, abusive, inconsistent with the intended use of the Platform, or otherwise violates these Terms.

GreenPearl accounts are individual accounts. Each account is intended to represent and be used by one person.

You may not share your account or allow another person to access or use the Platform as you.

GreenPearl may in the future provide delegation, assistant, team-management, or similar features that allow one person to perform specified actions on behalf of another user. Use of an authorized GreenPearl delegation feature is permitted to the extent provided by that feature and does not constitute prohibited account sharing.

Registering another person for an event does not by itself authorize you to access or use that person's GreenPearl account.

You agree to provide reasonably accurate information about yourself and to keep material professional information, including your name, company, job title, and other identifying information, reasonably current.

You may not:

• impersonate another person or organization;
• materially misrepresent your identity, employer, role, or professional affiliation;
• create a deceptive or fraudulent profile; or
• knowingly provide materially false information through the Platform.

GreenPearl may correct, hide, remove, or request correction of information that we reasonably believe is materially false, misleading, outdated, inappropriate, or associated with impersonation or misuse.

GreenPearl may authenticate users through one-time passcodes, secure sign-in links, or other authentication methods rather than traditional passwords.

You are responsible for maintaining reasonable control over the email account, device, or other channel used to authenticate your GreenPearl account.

You may not knowingly share an authentication code, sign-in link, or active authenticated session with another person for the purpose of allowing that person to use your account.

If you believe that your GreenPearl account, email account, authentication code, sign-in link, or active session has been compromised, you should notify GreenPearl promptly.

GreenPearl may invalidate authentication links or codes, revoke active sessions, temporarily restrict account access, or take other reasonable measures when we suspect unauthorized access, fraud, abuse, or another security risk.

GreenPearl is not responsible for unauthorized access resulting from a user knowingly sharing an authentication code or sign-in link or failing to maintain reasonable security over the email account or other authentication method associated with the account.

The Platform may allow you to submit, upload, display, or transmit information or content, including profile photographs, biographies, professional information, links, messages, and other materials (“User Content”).

You retain ownership of User Content that you own.

By submitting User Content, you grant GreenPearl a non-exclusive, worldwide, royalty-free license to host, store, reproduce, format, display, transmit, and otherwise use that content as reasonably necessary to operate, maintain, provide, secure, and improve the Platform and related GreenPearl event features.

You represent that you have the right to submit the User Content and to grant GreenPearl the rights necessary to use it for these purposes.

You may not submit content that:

• infringes another person's intellectual-property or privacy rights;
• is fraudulent or materially deceptive;
• is unlawful, threatening, harassing, or abusive;
• contains malicious software or harmful code; or
• otherwise violates these Terms.

GreenPearl may remove or restrict User Content when we reasonably determine that doing so is appropriate to operate or protect the Platform or its users.

Removal of User Content from the Platform does not necessarily remove copies previously shared with or independently retained by other users.

GreenPearl provides networking and messaging features to facilitate legitimate professional communication among event participants and other authorized Platform users.

Ordinary professional networking, introductions, follow-up communications, and reasonable one-to-one business development are permitted.

The Platform may not be used for:

• spam or bulk unsolicited messaging;
• repetitive or aggressive sales solicitation;
• automated or bot-driven outreach;
• mass promotional campaigns;
• harassment, threats, intimidation, or abusive communication;
• deceptive or impersonated outreach;
• harvesting contact information for unrelated mass-marketing campaigns; or
• other messaging activity GreenPearl reasonably determines is disruptive, abusive, or inconsistent with legitimate professional networking.

GreenPearl may impose messaging limits or other controls designed to protect users and preserve the intended networking experience.

The Platform may make certain profile or attendee information available to other authorized users for professional networking and event participation.

Access to this information is provided for legitimate individual networking and professional use. It does not grant a right to copy or commercially exploit GreenPearl's attendee or user database.

You may not:

• scrape or bulk-download attendee or profile information;
• compile Platform information into a separate bulk database;
• sell, license, publish, or redistribute attendee or profile data;
• use directory information for mass email, text-message, telephone, or other marketing campaigns;
• use automated tools to collect directory information; or
• attempt to circumvent another user's privacy settings, visibility choices, or access restrictions.

Nothing in this section prevents ordinary professional follow-up arising from a legitimate interaction. For example, you may manually retain contact information exchanged with or made available by a person with whom you have a genuine professional interaction and use that information for reasonable business follow-up, subject to applicable law.

That permission does not authorize bulk collection or mass solicitation.

Unless GreenPearl expressly authorizes it, you may not use automated systems to access, interact with, extract information from, or perform actions through the Platform.

Prohibited automated activity may include:

• bots;
• crawlers;
• scraping software;
• browser automation;
• automated scripts;
• automated messaging systems;
• AI agents;
• automated data-extraction tools; and
• similar technology designed to interact with the Platform without ordinary individual human use.

GreenPearl may authorize particular integrations, APIs, automated tools, or delegation systems. Permission for one authorized use does not constitute general permission for other automated activity.

You may not:

• attempt to gain unauthorized access to another user's account or to non-public portions of the Platform;
• probe, scan, or test Platform security without authorization;
• circumvent authentication, access controls, privacy restrictions, rate limits, or other technical safeguards;
• introduce malware, malicious code, or harmful files;
• interfere with another user's ability to use the Platform;
• intentionally disrupt or impair Platform operation;
• use the Platform in a manner reasonably likely to overload, damage, or materially degrade GreenPearl systems; or
• assist another person in doing any of the above.

GreenPearl may immediately restrict or suspend activity that we reasonably believe presents a security, fraud, abuse, or operational risk.

GreenPearl may take reasonable action to enforce these Terms and protect the Platform or its users.

Depending on the circumstances, GreenPearl may:

• remove or hide content;
• warn a user;
• restrict messaging or networking features;
• limit access to particular Platform features;
• temporarily suspend an account;
• revoke active sessions;
• permanently terminate an account; or
• take other reasonable protective or corrective action.

GreenPearl may act immediately when we reasonably believe action is necessary to address security threats, fraud, harassment, abuse, impersonation, unlawful activity, or a significant risk to another user or the Platform.

GreenPearl is not required to use every available enforcement measure or to impose the same response in every case.

Users may report suspected harassment, impersonation, fraudulent accounts, inappropriate content, misuse of attendee information, security concerns, or other violations of these Terms to GreenPearl.

GreenPearl may review reports and take action we consider appropriate under the circumstances.

Submitting a report does not guarantee a particular investigation, response, enforcement action, or outcome.

GreenPearl does not routinely read private user-to-user messages as part of the ordinary operation of the Platform.

GreenPearl may, however, access or review messages, account activity, logs, or related information when reasonably necessary to:

• respond to a support request;
• investigate reported harassment, abuse, fraud, or Terms violations;
• protect users or the Platform;
• troubleshoot technical problems;
• investigate security incidents;
• comply with legal obligations or valid legal process; or
• enforce these Terms.

Any such access is subject to GreenPearl's applicable privacy and security practices.

A restriction, suspension, or termination of a GreenPearl Platform account does not automatically cancel an existing event registration.

Similarly, cancellation of an event registration does not automatically terminate a GreenPearl account.

Where the underlying conduct affects both Platform use and event participation, GreenPearl may take separate action under both these Platform Terms and the applicable GreenPearl Attendee Terms & Conditions.

For example, GreenPearl may restrict a user's messaging privileges without excluding that individual from an event, or may determine that sufficiently serious misconduct warrants both Platform restrictions and event exclusion.

Users may request deletion or deactivation of their GreenPearl account, subject to applicable law.

Account deletion generally ends access to the active account and removes or deactivates information that GreenPearl no longer needs to display through the active Platform.

GreenPearl may retain information reasonably necessary for legitimate business, legal, accounting, security, fraud-prevention, dispute-resolution, audit, or compliance purposes.

This may include historical records concerning:

• event registrations;
• attendance and event participation;
• purchases and payments;
• refunds and credits;
• registration transfers;
• consent and Terms-acceptance records;
• security or audit logs; and
• records necessary to establish, exercise, or defend legal rights.

Deleting a GreenPearl account does not require GreenPearl to erase legitimate historical business records where retention is permitted or required by law.

The Platform, including its software, design, interfaces, databases, organization, GreenPearl-created content, event information, trademarks, logos, event names, and other proprietary materials, is owned by or licensed to GreenPearl except where otherwise indicated.

Subject to these Terms, GreenPearl grants you a limited, revocable, non-exclusive, non-transferable right to access and use the Platform for its intended purposes.

Except as expressly authorized, you may not:

• copy or reproduce substantial portions of the Platform;
• commercially exploit GreenPearl databases or Platform content;
• create competing databases from Platform information;
• reverse engineer, decompile, or attempt to derive Platform source code except where such restrictions are prohibited by law;
• remove proprietary notices; or
• use GreenPearl names, logos, branding, or event identities in a manner that falsely suggests sponsorship, endorsement, or affiliation.

The Platform may contain links to, integrations with, or functionality provided by independent third parties, including payment processors, professional-networking services, mapping providers, email providers, registration services, and other technology providers.

Those services may be governed by their own terms, policies, and privacy practices.

GreenPearl does not control and is not responsible for the independent operation, availability, security, content, products, or services of third parties merely because the Platform links to or integrates with them.

A link or integration does not necessarily constitute GreenPearl's endorsement of all content, products, or services provided by that third party.

GreenPearl works to provide a useful and reliable Platform but does not guarantee uninterrupted or error-free operation.

GreenPearl may at any time:

• add, modify, reorganize, or remove features;
• change how a feature operates;
• restrict particular features to certain users or events;
• temporarily suspend functionality for maintenance or security;
• correct errors or technical problems; or
• discontinue features or portions of the Platform.

Use of the Platform does not create a contractual right to continued availability of any particular feature, design, workflow, networking tool, directory function, or other functionality.

GreenPearl may make certain features available on a beta, preview, early-access, pilot, or experimental basis.

Such features may:

• be available only to selected users;
• change frequently;
• contain errors or incomplete functionality;
• operate differently from generally available features; or
• be modified or discontinued without becoming permanent Platform features.

GreenPearl does not guarantee that an experimental feature will remain available or become part of the permanent Platform.

Additional terms may apply to particular beta or experimental features where GreenPearl provides them.

GreenPearl makes reasonable efforts to maintain useful and accurate Platform information but cannot guarantee that all information displayed through the Platform is complete, current, or error-free.

In particular, information may be supplied by users, speakers, sponsors, venues, service providers, or other third parties.

GreenPearl does not guarantee the accuracy of user-submitted professional information, employment information, biographies, external links, or other third-party content.

Event information may also change over time.

GreenPearl may correct errors or update information when they are identified.

Users remain responsible for independently evaluating information where accuracy is important to a business, financial, legal, employment, or other decision.

GreenPearl provides tools that allow professionals to discover, communicate with, and connect with one another.

GreenPearl does not guarantee the identity, qualifications, statements, conduct, products, services, intentions, or reliability of another Platform user.

Users are responsible for exercising appropriate professional judgment when interacting with other users or deciding whether to enter into a business or personal relationship with someone discovered through the Platform.

GreenPearl is not a party to independent transactions or agreements between users unless GreenPearl expressly states otherwise.

The Platform is provided on an “as available” basis.

To the fullest extent permitted by applicable law, GreenPearl does not warrant that the Platform will always be available, uninterrupted, error-free, or completely secure.

GreenPearl is not responsible for losses resulting solely from matters such as temporary Platform outages, failed or delayed message delivery, missed notifications, unavailable features, user-submitted inaccuracies, or ordinary technical errors, except to the extent responsibility cannot lawfully be excluded.

Users remain responsible for their own communications, business decisions, information they choose to share, and interactions with other users.

Nothing in these Terms excludes warranties or rights that cannot legally be excluded.

To the fullest extent permitted by applicable law, GreenPearl will not be liable for indirect, incidental, special, consequential, exemplary, or similar damages arising solely from use of or inability to use the Platform, including lost profits, lost business opportunities, loss of goodwill, or loss of data.

To the extent GreenPearl is found liable for a claim arising solely from use of the Platform and such liability may lawfully be limited, GreenPearl's aggregate liability will not exceed the greater of:

1. amounts, if any, paid directly by the user specifically for access to the Platform during the 12 months preceding the event giving rise to the claim; or
2. $100.

This section applies to Platform use. Liability relating specifically to registration for or attendance at a GreenPearl event may also be governed by the GreenPearl Attendee Terms & Conditions.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

You are responsible for maintaining a current and working email address associated with your GreenPearl account.

GreenPearl may provide account-related, security, administrative, or legal notices electronically, including by email or through the Platform.

A notice properly sent to the email address associated with your account is not invalid merely because you did not open or read the message.

Certain notices may also be displayed when you sign in to or use the Platform.

GreenPearl may update these Terms from time to time as the Platform, our business, or applicable requirements change.

The current version of the Terms and its “Last updated” date will be made available through the Platform.

For ordinary or non-material changes, continued use of the Platform after updated Terms take effect may constitute acceptance of the revised Terms.

Where GreenPearl makes a material change that meaningfully affects users' rights or obligations, we may provide additional notice and may require users to affirmatively accept the revised Terms before continuing to use some or all of the Platform.

If a user does not accept Terms that GreenPearl requires for continued Platform use, the user may discontinue use of the Platform.

Declining updated Platform Terms does not erase historical registrations, transactions, Terms-acceptance records, or other information that GreenPearl may legitimately retain.

GreenPearl's collection, use, retention, and disclosure of personal information are described in the GreenPearl Privacy & Cookies notice.

The Privacy & Cookies notice may be updated separately from these Terms to reflect changes in GreenPearl's data practices, technology, services, and legal obligations.

These Terms govern use of the GreenPearl Platform.

Registration for, participation in, and attendance at GreenPearl events are governed by the applicable GreenPearl Attendee Terms & Conditions and any event-specific terms communicated to the attendee.

Where an issue relates specifically to attendance at or registration for an event, the Attendee Terms & Conditions or applicable event-specific terms will control to the extent of any direct conflict.

These Terms are governed by the laws of the State of Georgia, without regard to conflict-of-law principles.

Any dispute arising from these Terms or use of the Platform will be subject to the jurisdiction of a court of competent jurisdiction in the State of Georgia.

If any provision of these Terms is determined to be invalid or unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.

GreenPearl's failure to enforce a provision in one instance does not waive its right to enforce that provision or another provision in the future.

Headings are provided for convenience and do not affect interpretation of these Terms.
