GreenPearl Attendee Terms & Conditions

These Attendee Terms & Conditions (“Terms”) govern registration for and attendance at events organized by GreenPearl (“GreenPearl,” “we,” “us,” or “our”). These Terms apply to paid attendees, complimentary attendees, and invited attendees. Separate or additional terms may apply to speakers, sponsors, exhibitors, vendors, staff, or other event participants.

By registering for an event, claiming or accepting a registration, or attending a GreenPearl event, you agree to these Terms as applicable.

Use of the GreenPearl website and Platform generally is also subject to our Platform Terms of Use and Privacy & Cookies notice.

All registrations are subject to acceptance by GreenPearl.

GreenPearl reserves the right to reject or cancel a registration at its discretion, including where an individual does not meet applicable eligibility requirements, provides false or misleading information, misuses a registration category or promotional offer, has previously engaged in inappropriate conduct, or where GreenPearl otherwise determines that cancellation is appropriate to protect the event or its participants.

If GreenPearl cancels a paid registration under this provision, the registration fee will ordinarily be refunded in full. GreenPearl may withhold a refund or credit where cancellation results from fraud, misconduct, material misrepresentation, misuse of registration credentials, or violation of these Terms.

Attendees must be at least 18 years old unless GreenPearl expressly approves an exception in writing.

A person registering another individual represents that they are authorized to make the registration and provide the attendee's information to GreenPearl.

The individual making the registration agrees to the applicable registration, payment, cancellation, refund, and transfer terms.

GreenPearl may also require the actual attendee to claim, confirm, or otherwise accept the registration and these Terms directly. This acceptance may occur electronically through the GreenPearl website or app, through a registration confirmation process, or at event check-in.

An attendee who does not accept the applicable Terms may not attend the event. Declining to accept the Terms does not create a separate right to a refund; the normal cancellation and refund provisions apply.

GreenPearl may maintain an electronic record of an attendee's acceptance, including the applicable version of these Terms, the date and time of acceptance, and the method by which acceptance occurred.

Unless different terms are expressly stated for a particular event:

14 or more calendar days before the event: A paid attendee who cancels is entitled to a full refund of the registration fee paid.

Less than 14 calendar days but at least two calendar days before the event: A paid attendee who cancels is entitled to a refund equal to the amount paid less $200.

Beginning one calendar day before the event: Registration fees are non-refundable.

For purposes of these deadlines, a cancellation must be received by 11:59 p.m. in the local time zone of the event on the applicable deadline date.

No refunds or credits are provided for no-shows.

Illness, family emergencies, travel delays or cancellations, weather affecting an attendee's travel, schedule conflicts, or other personal circumstances do not create additional refund or credit rights beyond those stated above.

GreenPearl may make exceptions to these policies in individual cases at its discretion. Making an exception in one situation does not obligate GreenPearl to make the same or a similar exception in another.

Late arrival or failure to attend any portion of an event does not create a right to a refund or credit.

Whenever these Terms entitle a registrant to a full or partial refund, the registrant may choose an event credit instead of receiving the refund.

An event credit represents one registration to a future GreenPearl event rather than a stored dollar balance.

If the registrant is eligible only for a partial cash refund under Section 3, the registrant may nevertheless choose a full event credit, without the $200 deduction.

Event credits:

• expire 12 months after the date of cancellation;
• may be used for any GreenPearl event for which the person using the credit is otherwise eligible;
• may be transferred to another person;
• may be used for an event whose registration price is lower, equal to, or higher than the price of the original event; and
• have no residual cash value or remaining balance if used for an event with a lower registration price.

An event credit does not override invitation, eligibility, capacity, approval, or restricted-access requirements that otherwise apply to an event or a particular portion of an event.

Standard paid registrations may be transferred to another person through two calendar days before the event.

Transfers are subject to the following exceptions:

Complimentary registrations. Complimentary registrations are not transferable as of right. A transfer requires approval from GreenPearl or, where applicable, the GreenPearl partner that provided the complimentary registration.

Invite-only events. Registrations for invite-only events may be transferred only with GreenPearl's approval.

Restricted-access programming. A transfer of a conference registration does not automatically transfer admission to a private roundtable, invite-only meeting, leadership session, or other restricted component of an event. A replacement attendee may receive the general-admission portion of a transferred registration without receiving access to a restricted component.

GreenPearl may determine whether a proposed substitute satisfies any applicable eligibility requirements.

Registration for a GreenPearl conference generally provides access to the general-admission portions of the event, including designated networking areas and general conference sessions.

Registration does not necessarily provide access to every activity associated with the event.

Certain receptions, meals, private meetings, roundtables, leadership sessions, tours, or other programs may:

• require a separate registration or additional fee;
• be available by invitation only;
• require GreenPearl approval;
• have separate eligibility requirements;
• be subject to limited capacity; or
• be subject to a combination of these requirements.

Registration for the main conference does not create a right to attend an invite-only or otherwise restricted activity.

General-admission access is also subject to room capacity, fire and safety requirements, venue restrictions, and reasonable operational limitations. Registration does not guarantee a particular seat, table, room location, or uninterrupted access to every general-admission area.

Attendance at a GreenPearl Welcome Reception is generally limited to individuals registered to attend the associated main event unless GreenPearl approves an exception.

A Welcome Reception registration may not be transferred to a person who is not attending the associated main event without GreenPearl's approval.

A registration for the main event does not necessarily include admission to the Welcome Reception unless such access is expressly included.

GreenPearl reserves the right to correct obvious pricing, registration, discount, promotional, or system errors.

Discount codes, complimentary registration links, special rates, and similar offers may be restricted to their intended recipients or eligible categories and may not be transferred, distributed, or used without authorization.

If a registration is completed using an incorrect price, an unauthorized promotional code or complimentary link, or another material registration error, GreenPearl may require payment of the correct registration fee or cancel the registration and refund any amount paid.

If GreenPearl cancels an event and does not provide a replacement date, paid attendees will receive a full refund of the applicable registration fee or may elect an event credit.

If GreenPearl postpones or reschedules an event, registrations will ordinarily transfer automatically to the new date. An attendee who cannot attend the rescheduled event may request a full refund or elect an event credit.

GreenPearl is not responsible for airfare, lodging, ground transportation, meals, lost business opportunities, or other costs or expenses incurred by an attendee as a result of cancellation, postponement, rescheduling, relocation, or modification of an event.

GreenPearl may make reasonable changes to an event, including changes to speakers, panelists, sessions, schedules, rooms, event hours, food and beverage service, receptions, networking activities, programming, or other event components.

GreenPearl may also move an event to another venue within the same general market or geographic area.

Such changes do not by themselves constitute cancellation or entitle an attendee to a refund or credit.

GreenPearl may cancel, postpone, relocate, reschedule, or modify an event when circumstances outside its reasonable control make doing so necessary or advisable.

Such circumstances may include severe weather, natural disasters, fire, flood, government action, public-health emergencies, terrorism or threats of terrorism, civil disturbance, labor disruptions, transportation shutdowns, utility or infrastructure failures, venue failure, or other circumstances beyond GreenPearl's reasonable control.

If an event is ultimately cancelled without a replacement date, paid attendees will receive a full refund of the applicable registration fee or may elect an event credit.

GreenPearl is not responsible for attendees' travel, lodging, transportation, meals, or other incidental or consequential expenses arising from such circumstances.

Event registrations and credentials are intended for the registered attendee only unless an approved transfer or substitution has been completed.

Attendees may not sell, lend, share, reproduce, or give their event badge or credential to another person.

GreenPearl may require reasonable identification before issuing credentials or admitting an attendee.

GreenPearl may confiscate or revoke credentials that are being misused.

GreenPearl is committed to providing a professional, productive, and safe environment.

Attendees must behave professionally and comply with reasonable instructions from GreenPearl staff, venue personnel, security personnel, and applicable authorities.

GreenPearl may refuse admission, revoke credentials, or remove an attendee whose conduct GreenPearl reasonably considers disruptive, unsafe, threatening, harassing, discriminatory, abusive, excessively intoxicated, unlawful, or otherwise detrimental to the event or its participants.

GreenPearl may also take action when an attendee repeatedly interferes with speakers or other attendees, fails to follow staff or venue instructions, or otherwise materially disrupts the event experience.

An attendee removed for misconduct may forfeit registration fees and event credits and may be prohibited from attending future GreenPearl events.

Professional networking and ordinary business development are encouraged at GreenPearl events.

Attendees may not, however, engage in aggressive or disruptive solicitation, unauthorized distribution of promotional materials, mass prospecting, harvesting or scraping attendee information, or other activity that GreenPearl reasonably determines interferes with the event or commercially exploits access to its participants.

GreenPearl may direct an attendee to stop such activity and may revoke credentials or remove the attendee if the activity continues or is sufficiently serious.

Photography, audio recording, and video recording may occur throughout GreenPearl events.

By attending, attendees authorize GreenPearl and its authorized photographers, videographers, contractors, and representatives to photograph, film, or record their image, likeness, appearance, and voice and to use such material, without compensation, for legitimate event-related purposes including event coverage, documentation, websites, social media, email, advertising, and promotion of GreenPearl and future GreenPearl events.

Because photography and recording occur throughout an event, GreenPearl cannot guarantee that an attendee will not appear incidentally in crowd, networking, ballroom, background, or similar photographs or recordings.

An attendee who does not wish to be individually featured in GreenPearl promotional photography or video may notify GreenPearl staff, and GreenPearl will make reasonable efforts to accommodate the request. This does not constitute an opt-out from incidental or background appearance in event photography or recordings.

Ordinary personal photography and reasonable short-form video using phones or similar personal devices are generally permitted unless GreenPearl states otherwise.

Professional photography, professional videography, commercial recording, livestreaming, or similar activity requires advance permission from GreenPearl.

GreenPearl may impose conditions on any permission granted and may revoke permission at any time, including during the event, even if permission was previously given.

GreenPearl may prohibit or stop photography or recording that it considers disruptive, intrusive, unsafe, commercially exploitative, inconsistent with the event experience, or otherwise inappropriate.

Attendees must promptly comply with instructions from GreenPearl or venue personnel concerning photography or recording.

Attendees may take ordinary personal notes and may engage in reasonable social-media sharing about the event.

Unless permission has been granted by GreenPearl or the applicable rights holder, attendees may not reproduce, distribute, publish, sell, commercially exploit, or make substantial recordings or reproductions of presentations, presentation slides, event recordings, written materials, or other protected conference content.

GreenPearl's names, logos, event names, branding, and proprietary materials may not be used in a manner that suggests sponsorship, endorsement, or affiliation without permission.

Views and opinions expressed by speakers, panelists, and other participants are their own and do not necessarily reflect those of GreenPearl.

Event presentations and discussions are provided for general informational purposes and should not be considered individualized legal, tax, investment, financial, or other professional advice.

GreenPearl may make certain attendee information visible to other event participants through its website, app, attendee directory, or related networking features.

Name, job title, and company may be displayed by default.

A photo or biography may be displayed where an attendee has provided that information through their profile or where GreenPearl maintains such information because the attendee is a current or former GreenPearl speaker.

A LinkedIn profile may be displayed if provided by the attendee.

Email addresses are not displayed to other attendees through the attendee directory.

Phone numbers and city or location information may be displayed when an attendee elects to make that information visible.

Attendee-directory information may not be scraped, harvested, copied in bulk, redistributed, or used for mass solicitation or unauthorized commercial purposes.

GreenPearl may provide certain attendee information to sponsors and business partners in connection with an event, including information such as attendee name, job title, company, phone number, and mailing address.

GreenPearl may provide attendee email addresses to a limited subset of firms that maintain broader strategic, content, or other partnership relationships with GreenPearl.

Additional information regarding GreenPearl's collection, use, and disclosure of personal information is provided in the GreenPearl Privacy & Cookies notice.

By registering, attendees agree to receive communications necessary to administer and support their registration and participation in the event. These may include registration confirmations, payment information, reminders, schedule or venue changes, event instructions, networking information, app or account notices, and other operational communications.

Operational communications may be sent even if an attendee has opted out of marketing communications where those communications are reasonably necessary to administer the attendee's registration or participation.

Registrants may also receive invitations and information about future GreenPearl events and related offerings. Attendees may opt out of marketing communications through available unsubscribe mechanisms or their GreenPearl profile preferences.

Opting out of marketing communications does not opt an attendee out of necessary operational communications concerning an event for which they are registered.

GreenPearl seeks to make its events accessible and will provide reasonable accommodations as required by applicable law.

Attendees who require an accommodation are encouraged to contact GreenPearl as far in advance as reasonably possible so that GreenPearl can coordinate with the venue and other service providers.

GreenPearl will also address requests made closer to or during an event as required and reasonably practicable under the circumstances.

GreenPearl will make reasonable efforts to accommodate dietary restrictions when notified in advance but cannot guarantee an allergen-free environment or prevent cross-contact.

Specialty meals requiring separate preparation, certification, or sourcing outside GreenPearl's standard catering arrangements may be subject to an additional charge.

Any applicable charge will be disclosed to and collected from the attendee before the meal is ordered.

Attendees must comply with applicable laws, venue rules, security procedures, alcohol-service requirements, and reasonable instructions from GreenPearl and venue personnel.

Alcohol may be served only to individuals legally permitted to consume it.

GreenPearl, the venue, caterers, or other authorized service providers may refuse alcohol service to any attendee and may remove an attendee whose intoxication or conduct creates a safety concern or materially disrupts the event.

Attendance at an in-person event involves ordinary risks associated with travel, crowds, venues, food and beverage service, networking activities, and interaction with other people.

To the fullest extent permitted by applicable law, attendees participate at their own risk.

GreenPearl is not responsible for loss, injury, damage, delay, or expense caused by third parties, venues, other attendees, service providers, or circumstances outside GreenPearl's reasonable control.

GreenPearl is not responsible for lost, stolen, or damaged personal property.

To the fullest extent permitted by law, GreenPearl will not be liable for indirect, incidental, special, consequential, or similar damages arising from an attendee's registration for or participation in an event.

To the extent GreenPearl is found liable for a claim arising from an attendee's registration or participation and such liability may lawfully be limited, GreenPearl's aggregate liability will not exceed the registration fees actually paid by that attendee for the applicable event.

Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited.

Attendees are encouraged to contact GreenPearl promptly regarding billing questions, registration charges, or refund disputes so that GreenPearl has an opportunity to resolve the issue.

A knowingly false, fraudulent, or otherwise improper chargeback relating to a valid registration charge may result in cancellation of the registration and may affect the individual's ability to register for future GreenPearl events.

Nothing in this provision limits any right an attendee may have under applicable law or the rules governing the attendee's payment method.

GreenPearl's collection and use of personal information are described in the GreenPearl Privacy & Cookies notice.

The Privacy & Cookies notice may be updated separately from these Terms to reflect changes in GreenPearl's technology, services, legal obligations, and data practices.

Certain events, registrations, invitations, promotions, or restricted activities may be subject to additional terms or eligibility requirements communicated during registration or invitation.

Where specific event terms conflict with these general Terms, the event-specific terms will control with respect to that event or activity.

GreenPearl may update these Terms from time to time.

The version applicable to a registration will generally be the version presented or made available when the registrant or attendee accepts the Terms. GreenPearl may require acceptance of updated Terms where appropriate, particularly if material changes affect an upcoming event.

The effective or “Last updated” date will appear at the top of this document.

These Terms are governed by the laws of the State of Georgia, without regard to conflict-of-law principles.

Any dispute arising from these Terms or an attendee's registration for or participation in a GreenPearl event will be subject to the jurisdiction of a court of competent jurisdiction in the State of Georgia.

If any provision of these Terms is found invalid or unenforceable, the remaining provisions will remain in effect to the fullest extent permitted by law.

GreenPearl's failure to enforce a provision of these Terms in one instance does not waive its right to enforce that provision or any other provision in the future.

Headings are provided for convenience and do not affect interpretation of these Terms.
